General Terms and Conditions of Sale (GTCS)

Article 1: Preamble

These General Terms and Conditions of Sale (hereinafter referred to as ‘GTCS’) govern the relationship between Adastads LTD, a company registered in the United Kingdom, and its corporate customers (hereinafter referred to as ‘the Customer’). By placing an order, the Customer acknowledges having read these GSC and accepts them unreservedly.

Article 2: Services offered

Adastads LTD offers the following services to companies:

Management of advertising campaigns:

  • Management and supply of agency advertising accounts.
  • Optimisation and monitoring of advertising budgets.

Administrative management:

  • Assistance with day-to-day administrative tasks.
  • Coordination of day-to-day business expenses.

Financial management:

  • Receipt and management of commercial income.
  • Supplying advertising accounts.
  • Current expenses* approved by the client.

Current expenditure management* : The specific details of current expenses will be defined and validated by the Customer for each transaction.

Article 3: Obligations of the Client

The Client undertakes to collaborate actively with Adastads LTD to enable the proper execution of the services subscribed to. To this end, the Client must provide :

All specific information required (business information, advertising objectives, budgets, etc.).
The documents required to carry out the services (administrative or financial documents, authorisations, etc.).
The necessary access to the advertising accounts, tools and platforms used as part of the services (e.g. Google Ads, Meta Business Manager, etc.).

The Client guarantees the accuracy and veracity of the information and documents transmitted. Any delay or omission in the provision of these elements may result in a postponement of the time required to complete the services, without Adastads LTD being held responsible.

Article 4: Order and formation of the contract

4.1. All orders must be made in writing (email, online form, or signature of quotation).

4.2. The order is deemed accepted upon signature by the Client and by Adastads LTD for the execution of the services requested.

4.3. Once the contract has been signed, no cancellation will be possible without the prior agreement of Adastads LTD.

Article 5: Rates and Payment Terms

5.1. The prices of the services are indicated in pounds sterling (£), exclusive of tax. Applicable taxes will be added at the time of invoicing.

5.2. The prices agreed in the quotation or commercial proposal are firm during their period of validity.

5.3. Payments must be made in accordance with the terms specified on the quotation or invoice (bank transfer, payment schedule, etc.).

Article 6: Turnaround times

6.1. Turnaround times for services are indicative and depend on receipt of the information and documents required by the Customer.

6.2. Adastads LTD cannot be held responsible for delays caused by a lack of cooperation or omissions on the part of the Client.

Article 7: Liability

7.1. Adastads LTD will use all necessary means to provide services in accordance with the Client’s expectations, within the limits of the information and access provided.

7.2. The liability of Adastads LTD is limited to direct and foreseeable damage resulting from a proven fault in the execution of the services. Indirect damages or loss of profits are excluded.

7.3. In any event, the liability of Adastads LTD is capped at the total amount of the sums paid by the Client for the service concerned.

Article 8: Intellectual Property and Confidentiality

8.1. All tools, documents and methods supplied by Adastads LTD remain its exclusive property, unless otherwise stated.

8.2. The parties undertake to keep confidential all information exchanged as part of the performance of the services.

Article 9: Termination

9.1. Either party may terminate the contract in the event of a serious breach by the other party, after formal notice has remained without effect for 30 days.

9.2 In the event of early termination at the Client’s initiative, Adastads LTD will be entitled to invoice the services provided and the costs incurred.

Article 10: Force Majeure

Adastads LTD cannot be held responsible for a delay or impossibility of execution resulting from a case of force majeure (natural disaster, pandemic, strike, etc.).

Article 11: Applicable law and jurisdiction

These GTC are governed by English law. Any dispute relating to their interpretation or performance shall be subject to the exclusive jurisdiction of the competent courts of Sittingbourne, United Kingdom.
